Governing Well · Workshop 4 of 4
Response Capability
When something arrives that isn't on your risk register, can you respond?
Risk registers identify threats. They don't build the capability to respond.
Your risk register maps what you have already imagined. Most crises don't come from it. This workshop asks the question most boards have never put on the table: not whether we have prepared for the risks we know, but whether we have the capability to respond to the ones we haven't.
Boards spend considerable time on risk identification. They maintain registers, review them annually, satisfy themselves that significant risks are named and owned. This is not wasted effort. It is necessary. But it addresses only part of the governance obligation.
Five dimensions of response capability. All of them matter.
- Sense
Can we detect that something is wrong, early and clearly, before it becomes a crisis? Who would be the first to know, and how? Weak-signal channels before they become loud ones.
- Decide
When the unexpected happens, who has authority to act, and do they know they have it? If something happened at 9pm Friday, who makes the call? Is that clear to them?
- Act
Do we have the resources, relationships, and muscle memory to do something? Financial buffer to absorb a shock without approval for every dollar? Which relationships hold under real pressure?
- Communicate
Can we tell the right story to the right people at the right time? Who speaks for the organisation in a crisis? How quickly to staff, funders, stakeholders?
- Learn
After a shock, do we emerge stronger, or just relieved it's over? Can you name the last meaningful change from a near-miss? Better prepared than twelve months ago. And how do we know?
Management rates first. Then the board. Then the gap is revealed.
- BeforeManagement rates
- Each member of the senior management team completes the assessment tool independently, rating the organisation on each of the five dimensions from critical gap to strong.
- Three structured probe questions per dimension prompt honest reflection on specific, practical aspects.
- Management responses submitted privately. The board does not see them until the synthesis.
- Disagreements within management are as revealing as disagreements between management and the board.
- In the roomBoard rates and reveal
- Directors complete the same assessment tool at the start of the workshop, before any discussion.
- Individual ratings kept private until the synthesis. The comparability is what makes the gap visible.
- Management and board profiles displayed side by side.
- For most orgs, the board rates higher than management on at least two dimensions: the board has been endorsing with more confidence than management believes is warranted.
- After the revealNamed commitments
- The gap examined honestly. Not assigned blame. Used as governance information.
- Specific capability gaps the board commits to close. Named, with owners.
- Annual rhythm for re-rating. The assessment becomes a recurring governance instrument.
- Commitments recorded in minutes. The conversation re-opens, in the same language, next year.
“Your risk register maps what you've already imagined. Most crises don't come from it. The capability to respond to what you haven't anticipated is what actually protects an organisation when things go wrong.”
Governing Well · Regenerative Outcomes
A capability profile. A set of named gaps. A rhythm that holds.
- The capability profile
Management and board views of response capability on each of the five dimensions, displayed side by side. The most revealing governance artefact this board has probably produced.
- Named gaps the board owns
The two or three dimensions where the gap between management's view and the board's is most significant, translated into specific commitments with owners and timelines.
- Commitments in minutes
The gap and the commitments to close it recorded in board minutes. The conversation can be re-opened in the same language next year.
- Annual rhythm
The dual-rating process becomes a recurring governance instrument, run annually. The board tracks whether response capability is actually improving, not just whether risks are described.
